1. Introduction

Welcome to clothink, the AI product development workspace for apparel (the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service operated by Clothink Ltd ("we", "us", "our", or "Company"), a company registered in England and Wales.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

3. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

You must be at least 18 years old to use this Service. If you are under 18, you may only use the Service with the involvement and consent of a parent or guardian.

4. Description of Service

Our Service is the clothink workspace: an AI product development workspace for apparel. It provides tools for generating photoreal mockups, design concepts, technical specifications, and production-ready outputs. The Service includes:

• Photoreal mockup generation from CAD or artwork (multiple angles, backgrounds, model options)
• Concepts, colour palettes, and flats
• Video generation from mockups and designs
• Tech packs with size charts, BOMs, construction notes, and PDF export
• Styles, collections, and Brand Context
• Workspaces (personal and team) with roles and sharing
• Other related design and production tools (including material library, tech-pack templates, image enhancement such as HD upscale, and design/style concepts)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

5. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6. Subscription Plans and Payment

The Service offers a 7-day free trial with full workflow access, a free account with pay-as-you-go token access for design assets only (mockups, Coloured CADs), paid full-workflow plans for tech packs and production exports, team workspace plans, and one-off token packs. During your trial you may purchase token packs without losing trial access. When your trial ends, your free account continues with pay-as-you-go token access for design assets unless you subscribe. By purchasing a paid plan or token pack, you agree to:

• Pay all fees associated with your selected subscription plan
• Payments are processed through our third-party payment processor (Stripe)
• Subscription fees are charged in advance on a monthly or annual basis
• Token packs are one-off payments and are not recurring subscriptions
• All fees are non-refundable except as required by law or as explicitly stated in these Terms

Cancellation: You may cancel your subscription at any time through your account settings, the Stripe Customer Portal (linked from your account or subscription page), or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

Price Changes:We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

Refunds: Refunds are provided in accordance with our Refund Policy and applicable consumer law. If you are a consumer in the UK and cancel within 14 days of subscribing, you may be entitled to a full refund under the Consumer Contracts Regulations 2013. EU consumers have equivalent rights under the EU Consumer Rights Directive (2011/83/EU). Consumers in other jurisdictions may have similar rights under their applicable local law.

7. Usage Limits

Access to AI features is governed by tokens. Your trial, token-pack purchases, or subscription plan determine how many tokens are available. Different actions may use different token amounts depending on complexity. Examples include:

• Generating a mockup image
• Generating design concepts
• Generating flats, patterns, and graphics
• Generating videos from mockups or designs
• Regenerating additional views or running image enhancement features

Monthly subscription tokens reset at the beginning of each billing cycle. Token packs do not expire and can be purchased during your trial or with your free account. Access to tech packs and production-oriented workflows requires a full workflow subscription; the free account provides pay-as-you-go access to design assets only (mockups, Coloured CADs, and related generation).

8. User Content and Intellectual Property

Your Content:You retain all ownership rights to content you upload, create, or generate using the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

Generated Content: You own the rights to mockups, designs, and other content generated through the Service using your User Content. However, you may not claim ownership of the underlying AI models or algorithms used to generate such content.

Our Content: The Service, including its design, functionality, and all content not provided by users, is owned by Clothink Ltd and protected by UK and international copyright, trademark, and other intellectual property laws.

Prohibited Content: You agree not to upload, generate, or share content that:

• Infringes any third-party intellectual property rights
• Is illegal, harmful, or violates any applicable laws
• Contains hate speech, harassment, or discriminatory content
• Is pornographic, obscene, or sexually explicit
• Violates any person's privacy or publicity rights
• Contains malware, viruses, or other harmful code

9. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorised access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense access to the Service
• Use the Service to compete with us or build a similar service
• Impersonate any person or entity or misrepresent your affiliation

10. AI-Generated Content Disclaimer

The Service uses third-party artificial intelligence services to generate content. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or unexpected results
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are responsible for reviewing and verifying all generated content before use
• AI-generated content should not be relied upon as the sole basis for business or design decisions
• We are not liable for any consequences arising from your use of AI-generated content

11. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, and where applicable the EU General Data Protection Regulation (EU GDPR).

By using the Service, you acknowledge the collection, use, and processing of your personal data as described in our Privacy Policy.

12. Termination

By You: You may terminate your account at any time by contacting us or by submitting a deletion request through your account settings. We will process deletion requests and confirm when complete.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• You engage in fraudulent, illegal, or harmful activities
• You fail to pay subscription fees when due
• We are required to do so by law
• We decide to discontinue the Service

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we will provide reasonable notice and opportunity to export your data where practicable.

13. Limitation of Liability

To the maximum extent permitted by UK law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded or limited under UK law

If you are a consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.

14. Indemnification

You agree to indemnify, defend, and hold harmless Clothink Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

15. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, except where mandatory consumer protection laws in your country of residence require the application of local law — in which case those mandatory provisions will also apply.

Jurisdiction: Any disputes arising out of or relating to these Terms or the Service shall be subject to the jurisdiction of the courts of England and Wales, except that if you are a consumer and mandatory consumer protection laws in your country of residence give you the right to bring or defend proceedings in your local courts, nothing in these Terms removes or limits that right.

Alternative Dispute Resolution: Before initiating legal proceedings, we encourage you to contact us to resolve disputes amicably. Depending on your location, you may also have the right to refer disputes to alternative dispute resolution services or a consumer ombudsman under your applicable local law.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification to registered users (for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clothink Ltd regarding the Service and supersede all prior agreements and understandings.
